By accessing this website or using our services, you agree to these Terms & Conditions.

1. Definitions

For the purpose of these Terms:

“Company,” “we,” “our,” or “us” refers to Eigendyne

“User,” “you,” or “your” refers to any visitor, customer, trainee, client, partner, vendor, or person accessing our website or services.

“Website” refers to our official website and related webpages, portals, demo pages, forms, or online interfaces.

“Services” include robotics automation solutions, adaptive scanning automation, engineering consulting, CAD/CAE/CAM support, metrology automation, training, staffing support, product demonstrations, technical documentation, and any other service offered by us.

“Software” refers to any proprietary software, platform, dashboard, automation module, scripts, APIs, UI, algorithms, tools, or digital system provided by Eigendyne, including but not limited to Eigendyne Platform and Eigendyne AdaptiveScan.

2. Scope of Services

Eigendyne provides services in areas including, but not limited to:

1. Robotic automation and robotic scanning systems

2. Adaptive scanning automation and metrology workflow solutions

3. Engineering consultancy and technical advisory

4. CAD, point-cloud, mesh, and 3D data processing support

5. Training programs, workshops, internships, and technical skill-development services

6. Software tools, dashboards, automation modules, and customer portals

7. Pilot projects, proof-of-concept studies, and product demonstrations

The exact scope, deliverables, timeline, commercial terms, acceptance criteria, and support conditions for each customer engagement shall be defined separately through a proposal, quotation, purchase order, service agreement, statement of work, or written confirmation.

3. Website Use

You agree to use this website only for lawful and legitimate purposes.

You shall not:

1. Misuse, copy, hack, scrape, reverse engineer, overload, or disrupt the website.

2. Attempt unauthorized access to our systems, software, servers, customer portals, or databases.

3. Upload malicious code, viruses, corrupted files, or harmful scripts.

4. Use our website content for misleading, defamatory, illegal, or competitive misuse.

Any technical capability, product feature, automation function, scanning performance, cycle-time improvement, accuracy level, coverage output, or integration claim may depend on:

4. Part geometry

5. Surface finish and reflectivity

6. Fixture and workspace setup

7. Environmental conditions

8. Software configuration

9. Calibration quality

10. Customer acceptance criteria

Final technical feasibility shall be confirmed only after detailed study, pilot testing, engineering review, or formal project engagement.

5. Demonstrations, Pilots, and Proof-of-Concepts

Any demo, pilot, simulation, proof-of-concept, or prototype shown by Eigendyne is intended to demonstrate capability and direction.

Demo results shall not be treated as final production performance unless explicitly agreed in writing.

Pilot outputs may include:

1. Scan path demonstrations

2. Coverage heatmaps

3. Robot motion trials

4. Object detection workflow

5. Point-cloud or mesh outputs

6. Technical reports

7. Trial automation dashboards

8. Feasibility observations

Pilot deliverables, ownership, confidentiality, usage rights, and commercial conversion terms shall be defined separately in writing.

6. User Accounts and Login Access

Where we provide customer login, subscribed access, trainee login, dashboard access, or portal access, you are responsible for maintaining the confidentiality of your login credentials.

You agree to:

1. Use only your authorized account.

2. Not share login credentials with unauthorized users.

3. Notify us immediately if you suspect unauthorized access.

4. Not attempt to access another customer’s project, data, report, or system.

5. Provide accurate registration and account information.

We may suspend or revoke access if we detect misuse, security risk, non-payment, unauthorized sharing, or violation of these Terms.

7. Training Programs

For training, internship, workshop, or skill-development programs:

1. Course content, duration, schedule, mode, tools, and certification details will be communicated separately.

2. Fees, refund eligibility, batch changes, attendance rules, and certification requirements may vary by program.

3. Training materials are provided only for enrolled participants and may not be copied, redistributed, sold, recorded, or reused commercially without written approval.

4. Completion certificates, if provided, are based on attendance, participation, assignments, assessment, or project completion criteria defined for the program.

5. We may reschedule, modify, or cancel training sessions due to operational, technical, faculty, or business reasons.

8. Payments and Commercial Terms

Where services are chargeable, payment terms shall be defined in the relevant quotation, invoice, proposal, agreement, or purchase order.

Unless otherwise agreed in writing:

1. Fees are payable in Indian Rupees or the agreed billing currency.

2. Taxes, including GST or other applicable taxes, shall be charged as per law.

3. Work may begin only after advance payment, purchase order, or written commercial approval, as applicable.

4. Delayed payments may lead to suspension of work, withholding of deliverables, or restriction of access.

5. Any additional scope, rework, site visit, customization, integration, or support beyond agreed scope may be charged separately.

9. Refund and Cancellation

Refunds and cancellations depend on the nature of the service.

For consulting, engineering, automation, pilot, and project services:

1. Advance payments may be non-refundable once project planning, resource allocation, design work, development, procurement, travel, or execution has started.

2. Cancellation charges may apply based on work completed, resources committed, third-party costs, and project stage.

3. Refunds, if applicable, will be processed only after internal review and written approval.

For training programs:

1. Refund eligibility shall be based on the specific training program policy.

2. No refund may be available after course commencement, access to materials, or allocation of batch seat, unless stated otherwise.

3. Batch transfer may be offered at our discretion.

10. Intellectual Property Rights

All intellectual property available on this website or provided through our services belongs to Eigendyne or its licensors, unless otherwise stated.

This includes:

1. Company name, product names, logos, taglines, brand assets, and visual identity

2. Website content, images, graphics, diagrams, layouts, and text

3. Software architecture, UI/UX design, dashboards, source code, scripts, APIs, and workflows

4. Algorithms, automation logic, scanning strategies, coverage methods, reports, templates, and documentation

5. Training materials, presentations, videos, exercises, assignments, and technical notes

6. Product concepts, service models, process flows, and technical frameworks

You may not copy, reproduce, modify, distribute, sell, license, publish, reverse engineer, or create derivative works from our intellectual property without prior written permission.

11. Customer Data and Project Data

During project execution, customers may share CAD data, STL files, point clouds, scan data, vehicle/component images, benchmark data, drawings, measurement data, specifications, process details, or business information.

Unless otherwise agreed in writing:

1. Customer-provided data remains the property of the customer.

2. Eigendyne may use such data only for the purpose of providing agreed services.

3. We will take reasonable measures to protect customer data.

4. We may use anonymized, non-confidential, or aggregated technical learnings for internal improvement, provided such usage does not identify the customer or disclose confidential information.

5. Customer data retention, deletion, backup, and return conditions may be defined separately in the project agreement.

12. Confidentiality

Both parties may exchange confidential technical, commercial, business, software, process, or project information.

You agree not to disclose, misuse, copy, or distribute confidential information received from Eigendyne.

We agree to take reasonable care to protect confidential customer information received during discussions, proposals, pilots, training, or projects.

A separate Non-Disclosure Agreement may be signed where required.

13. Third-Party Tools, Hardware, and Software

Our solutions may interact with third-party tools, platforms, hardware, software, libraries, robots, scanners, sensors, CAD systems, cloud systems, operating systems, or open-source components.

Examples may include robot controllers, 3D scanners, CAD software, point-cloud tools, simulation software, ROS-based systems, cloud platforms, and other engineering software.

We are not responsible for:

1. Failure, defect, downtime, or limitation of third-party tools or hardware

2. Licensing issues related to customer-provided third-party tools

3. Compatibility issues caused by external software updates

4. Hardware calibration problems not caused by us

5. Third-party data loss, security breach, API change, or support discontinuation

Any third-party license terms shall apply separately.

14. Accuracy, Performance, and Technical Limitations

Robotics automation, scanning, metrology, CAD conversion, point-cloud processing, and engineering analysis are technical activities affected by real-world conditions.

We do not guarantee universal performance across all parts, geometries, surfaces, materials, workspaces, or operating conditions.

Performance may be affected by:

1. Reflective, transparent, dark, shiny, or deformable surfaces

2. Occlusions, undercuts, deep cavities, and inaccessible regions

. Sensor range, scanner field-of-view, and tracking limitations

4. Robot reachability and collision constraints

5. Fixture instability or part movement

6. Calibration error

7. Lighting, vibration, dust, temperature, or environmental disturbance

8. Input data quality

9. Operator setup and maintenance conditions

Engineering validation, calibration, safety review, and acceptance testing are required before production deployment.

15. Safety Disclaimer

Robotic systems, scanners, automation cells, fixtures, and industrial equipment involve safety risks.

Any deployment of our solution must follow applicable safety standards, customer site safety rules, robot manufacturer guidelines, scanner manufacturer guidelines, emergency-stop procedures, risk assessments, and local regulations.

The customer is responsible for:

1. Safe workspace preparation

2. Machine guarding, fencing, warning signs, and access control where required

3. Emergency-stop integration and testing

4. Operator training

5. Risk assessment before production use

6. Compliance with applicable industrial safety regulations

Eigendyne is not responsible for unsafe use, unauthorized modification, bypassing safety systems, poor maintenance, or operation outside agreed specifications.

16. Limitation of Liability

To the maximum extent permitted by law, Eigendyne shall not be liable for indirect, incidental, special, consequential, punitive, or business losses, including but not limited to:

1. Loss of profit

2. Loss of production

3. Loss of business opportunity

4. Loss of data

5. Loss of goodwill

6. Rework cost

7. Machine downtime

8. Customer-side process failure

9. Third-party tool or hardware failure

Our total liability for any claim shall not exceed the amount paid by the customer to Eigendyne for the specific service or project giving rise to the claim, unless otherwise required by applicable law or agreed in writing.

18. Privacy and Personal Data

We may collect personal information through contact forms, demo booking forms, training registration forms, newsletter forms, login portals, email communication, or customer onboarding processes.

Such data may include name, company name, email address, phone number, designation, location, enquiry details, payment details, and account information.

Our collection and processing of personal data shall be governed by our Privacy Policy.

India’s Digital Personal Data Protection Act, 2023 provides a framework for processing digital personal data for lawful purposes, including notice, consent, and obligations of data fiduciaries.

For active customer contracts, the signed agreement or purchase order shall prevail in case of conflict with these website Terms.

24. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to any separate written agreement, courts located in Coimbatore, Tamil Nadu, India shall have jurisdiction over disputes arising from these Terms, website use, or related services.
